STANDARD TERMS AND CONDITIONS OF SALE


1. Definitions

  • "Company" refers to Herocean Logistics Limited, its subsidiaries, and affiliates.
  • "Client" refers to the individual or entity engaging the services of the Company.
  • "Services" refers to all logistics, transportation, freight forwarding, warehousing, and related services provided by the Company.
  • "Agreement" refers to the contractual relationship between the Company and the Client, governed by these Terms and Conditions.

2. Scope of Services

  • The Company provides comprehensive logistics and transportation services, including but not limited to freight forwarding, warehousing, customs clearance, distribution, and strategic supply chain consulting.
  • All services are subject to availability and the Company reserves the right to decline service requests at its sole discretion.

3. Payment Terms

  • All invoices are due for payment within 30 days from the invoice date, unless otherwise specified in the order or agreement.
  • Payments must be made in full to the designated bank account of Herocean Logistics Limited. The deposit slip must be emailed to admin@heroceanlogistics.info for confirmation.
  • Late payments will incur an interest charge of 5% per month on the overdue amount.
  • If payment remains outstanding for more than 60 days, the Company reserves the right to suspend services and engage a debt recovery agency. All legal and recovery costs will be borne by the Client.

4. Refund and Cancellation Policy

  • All payments made to the Company are non-refundable, except in cases of service errors directly caused by the Company.
  • Cancellation of services must be communicated in writing at least 7 business days in advance. Charges for partially completed services will be applied on a pro-rata basis.

5. Liability and Indemnity

  • The Company will not be liable for any indirect, incidental, or consequential losses arising from the use of its services, including delays, loss of profits, or damage to reputation.
  • The Client agrees to indemnify the Company against all claims, damages, and costs arising from the Client's breach of these Terms and Conditions or the use of the services.

6. Claims and Disputes

  • Any claims regarding service discrepancies or damages must be submitted in writing within 8 days of the delivery of goods or completion of services.
  • Claims not submitted within this timeframe will be deemed invalid.
  • Disputes arising from this Agreement will be resolved through negotiation in good faith. If unresolved, the dispute will be referred to arbitration under the laws of Hong Kong.

7. Force Majeure

  • The Company will not be liable for delays, interruptions, or failures to perform services due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, or technological disruptions.

8. Confidentiality

  • The Client agrees to keep all information, pricing, and contractual terms confidential and not disclose them to third parties without the prior written consent of the Company.

9. Governing Law and Jurisdiction

  • This Agreement is governed by the laws of Hong Kong. Any disputes will be subject to the exclusive jurisdiction of Hong Kong courts.

10. Amendments

  • The Company reserves the right to amend these Terms and Conditions at any time. Any updates will be communicated in writing to the Client and will take effect immediately.

11. Acceptance

  • By engaging the services of Herocean Logistics Limited, the Client agrees to these Terms and Conditions in full.
